    In the past year, promoters of 3 companies, BGR Energy Varanium Cloud And Ultracab, hid information from shareholders while they quietly sold their shares. Companies hiding material information is not uncommon and often causes investors financial loss. Although it is rare among reputed firms, investors in smallcap and midcap stocks regularly fall victim to inadequate information and pump-and-dump schemes. It is one reason why the market regulator Securities and Exchange Board of India (SEBI) and exchanges are wary when valuations in these segments rise suddenly. Beat The Street write:

    Just open Economic Times of any of the past 10 days & you'll find the IPO frenzy taking over the capital markets. Obviously this gives rise to a lot of bad apples who go public riding the IPO Wave. One such is Motisons Jewellers with deep corporate governance issues as unveiled by the brilliant duo Sudarshan & CA Nimish Maheshwari of Beat The Street. • Just to put into context, Motisons planned to raise ~₹150Cr, all in fresh issue. - Retail Portion : ~₹50Cr - Retail Subscription: ~₹5,000Cr! The retail portion was subscribed by a whopping 95x! The GMP of Motisons is over 150% as of now. • Now what are some grave corporate governance issues with Motisons : - Promoters were involved in the infamous IPL betting scandal. - They were investigated by almost all major regulatory bodies of India viz SEBI, Income Tax, CBI, et al. - They were banned for ~3 years from accessing the capital markets. - The proceeds from this IPO will be used to pay some debts, particularly low cost debt from banks vis a vis high cost debts from the Promoters themselves! Promotor Rate of Interest : ~12% Bank Rate of Interest : ~9% Eitherway a BIG red flag. - The company has leased the 4 showrooms & 2 manufacturing facilities. From whom? The promotors themselves! • There are zillion other issues with the company wrt their Balance sheet items. A bull market encourages companies with such poor corporate governance standards to list on the bourses. Ofcourse, no retail investor will care because look at the GMP.     Investor Risk Reduction Access: How to access exchanges’ platform when broker platform has a tech glitch. A game-changing initiative known as Investor Risk Reduction Access (IRRA) will help investors in case stock broker faces technical glitch. IRRA is a joint effort by Exchanges to provide a lifeline to investors when their broker's platform faces technical glitches or outages, rendering it inaccessible. This initiative is in line with the SEBI Circular of December 30, 2022. Here's how it works: 1️. Trading Members, make sure your clients' contact details (mobile numbers and email IDs) are up to date in the Unique Client Code (UCC) system of the Exchanges, as this info will be crucial for investor login authorization on the IRRA platform. 2️. When an affected Trading Member requests or qualifies for IRRA invocation, the IRRA platform will send SMS and email notifications to all the UCCs of the affected TM, informing investors about the availability of the IRRA platform for exiting or squaring off their open positions. 3️. Exchanges will provide links to download the IRRA mobile application and access the web-based trading platform on their websites, while TMs are urged to display IRRA platform links on their sites. 4️. Investors can log in using their UCC or PAN along with the OTP sent to their registered mobile number and email ID. 5️. Once logged in, investors can monitor, cancel pending orders, and square off open positions using the intuitive 'Order book' and 'Net position screen' features. 6️. The IRRA platform fetches the day's orders, trades, and previous net open positions from Clearing Corporations. Additionally, Trading Members have access to an Admin Terminal, enabling them to monitor and act on behalf of investors or for proprietary accounts. It's worth noting that IRRA is not available for algo trading or institutional clients. Trading Members remain responsible for their clients' activities, including clearing, settlement, and margin obligations. Investor protection and seamless trading experiences are the main motive of this initiative.
