Ceconomy has launched its refinancing of its senior unsecured notes due 2026, choosing a standard high yield structure as compared to their previous, more IG-like German law governed bonds. Without guarantees or security, FLT's red flag review focused on non-guarantor debt capacity and permitted liens capacity, each of which would impact subordination risk. We also noted in our blog the 10% at 103% redemption feature and the sustainability step-up. We highlighted as well the zero floor in the 50% CNI component of the builder, which appears to have become market standard. Really interesting to see the approach taken when a more IG-style covenant package is "translated" into high yield! In my blog for Fox Legal Training, I conduct a red flag review of #Ceconomy's deal, refinancing their 2026 maturity unsecured notes. In particular, I was interested to note that the zero floor in the 50% CNI element of the builder basket seems to have moved solidly into what's considered "market" - which is troubling to an old fashioned practitioner like me! The ability of the issuer to take value out of the business based on credit for profits should, in my humble view, be balanced by the obligation to deduct 100% of any losses. Manolete Partners Looks to Expand Covid Loan Recovery Scheme An article by Legal Futures covers the recent announcement by MANOLETE PARTNERS Plc that it is looking to expand upon its pre-existing pilot scheme to bring cases related to Covid Bounce Back Loans (BBLs).
